
Dear shareholder,
per my letter dated January 28, 2010, Acony, Inc.
(Acony) requested that you, and all Acony shareholders, turn in your stock in
Acony stock to Rendato. The exchange of your Acony stock would allow the
conversion to shares of stock in Rendato with the following conversion formula
and the following attributes:
One Rendato stock would be exchanged for 6,5 Acony
stocks.
This would mean that you would trade 3.281 Acony
stocks for corresponding 505 Series E Preferred Shares of Rendato. All Series E
Preferred shares have a lock-up period
of three years. This lock-up period ends at October 08th 2013. After this period
these stocks can be converted into tradable common shares.
The Boards of Directors and Shareholders of Acony
approved this exchange due to a lack of cash flow. It is contemplated that
with the completion of the share exchange that Acony will be liquidated because
Acony no longer has any assets. Therefore, your transfer of your Acony shares to
Rendato will enable you to continue to own shares of stock in Rendato which does
have assets and is an operating company.
All Acony shareholders were to transfer their shares
of Acony stock by March 31, 2010. Several Acony shareholders delayed turning in
their shares of Acony stock to Rendato and these
delays unfortunately affected the distribution of the
Rendato Series E Preferred Shares to the Acony shareholders.
Acony would like to remind you, that even if you have
not sent your Acony stocks for conversion to Rendato Series E Preferred Stock,
your Acony stocks expire when Acony files for dissolution of its corporate
charter.
Therefore Acony is again requesting that you send your
Acony stock certificate(s) to Rendato by December 31, 2010. If you fail to send
your Acony stock certificates by that time, Rendato is under no obligation to
issue the Series E Shares to you.
If you do not receive a certificate with this letter
this is a fact that Rendato did not receive your Acony stocks.
